ADDENDUM TO SERVICE AGREEMENT

Meta Search Services

This Addendum ("Addendum") is entered into and shall form an integral part of the Service Agreement dated [Original Contract Date] ("Agreement") executed between the Parties. All provisions of the Agreement remain in full force and effect, except as specifically amended herein.

MANDATORY PLATFORM FEE

The following fee applies to all Meta Search Services regardless of selected models or channels.

Cost Per Click: Hotel Linkage collects minimum $250/month media budget per channel from you and remits to respective platforms on your behalf. Hotel Linkage charges 11% management fee on actual booking revenue generated through these campaigns for optimization and management.

Target Return on Ad Spend: Google Hotel Ads exclusive. Hotel Linkage collects minimum $250/month media budget from you and remits to Google on your behalf. Hotel Linkage charges 1.8% management fee on actual booking revenue for automated bidding strategy and performance optimization.

TERMS & CONDITIONS

Service Model Terms

  • CPA Model: For each confirmed reservation generated via CPA channels, Hotel Linkage shall collect platform commissions (minimum 10% varies by channel) from the Hotel and remit to respective Meta Search platforms on the Hotel's behalf. Additionally, Hotel Linkage charges a 1.8% management fee.
  • CPC Model: For CPC campaigns, Hotel Linkage shall collect a minimum monthly media budget of USD 250 per channel from the Hotel and remit to respective advertising platforms on the Hotel's behalf. Additionally, Hotel Linkage charges an 11% management fee calculated on actual booking revenue generated through these campaigns.
  • T.ROAS Model: For Google Hotel Ads T.ROAS campaigns, Hotel Linkage shall collect a minimum monthly media budget of USD 250 from the Hotel and remit to Google on the Hotel's behalf. Additionally, Hotel Linkage charges a 1.8% management fee calculated on actual booking revenue generated through these campaigns.

Payment Terms

  • Platform Maintenance Fee of $29/month is mandatory and non-refundable (billed annually)
  • Management fees are calculated on actual booking revenue generated through respective campaigns for all service models
  • Hotel Linkage acts as intermediary, collecting all payments from Hotel and remitting platform fees/budgets on Hotel's behalf
  • All fees are billed monthly in accordance with the original Service Agreement payment terms

Digital Signature & Legal Validity

  • This Addendum is executed electronically pursuant to the U.S. ESIGN Act and applicable electronic transaction laws
  • Digital signatures shall have the same legal effect as handwritten signatures
  • Channel activation may take 1-7 days depending on third-party platform requirements (Hotel Linkage not responsible for delays)
  • Channel deactivation requires 45 days written notice

Liability Limitation

  • Hotel Linkage shall not be held liable for any third-party advertising costs, platform commissions, or media spend
  • The Hotel assumes full financial responsibility for all direct payments to Meta Search platforms
  • This Addendum supplements but does not replace the original Service Agreement
  • Governing law and dispute resolution follow the original Agreement terms as specified in the original contract
